Key Principal Partners Acquires Honsador Lumber Corporation and Affiliates

Key Principal Partners (KPP) has acquired Honsador Lumber Corporation (Honsador) and two of its affiliates, Honolulu Wood Treating (HWT) and Ariel Truss (Ariel), from Jim Pappas, owner of all three companies. Honsador is the largest wholesale building products distributor in Hawaii, Ariel is the state’s largest manufacturer of roof trusses, and HWT is the state’s leading wood treatment company.

RDV Corporation, a limited partner in both KPP and other direct investments of KPP, and Hawaiian Land Development Corporation, which is a major investor in Hawaii led by developer Jeff Stone, joined KPP as equity investors in the new holding company, Honsador Holding, LLC (the Company), First Hawaiian Bank provided the senior debt financing for the transaction.

The transaction provides liquidity for Mr. Pappas who will remain involved in the Company as a member of the Board of Directors and as an advisor. The Company has grown rapidly in the past several years and revenues for 2004 are expected to approach $150 million. This growth is expected to continue as the Company pursues a number of expansion projects and new product offerings to meet the increasing needs and quality requirements of developers.

While we are thrilled to acquire the fantastic company that Jim Pappas has constructed, our challenge now is to continue to grow the breadth and quality of services the Company can provide to professional builders in the Islands, said Greg Davis, a Principal with KPP and member of the Board of Directors.

Honsador was established in 1935 as Honolulu Sash & Door and has become the key source of locally supplied building products of both large and small builders in Hawaii. It is the only distributor with operations on Hawaii’s four major islands, and operates a facility in Portland, Oregon to source its broad range of products.
